These Terms of Use ("Agreement" or "Terms") constitute a legally binding agreement between you, whether acting in your individual capacity or on behalf of an entity ("User," "you," or "your"), and United Incentive Corp., a Florida corporation ("UIC," "Company," "we," "us," or "our"), the owner and operator of the website located at www.bidonmytrade.com and all associated subdomains, mobile versions, and applications (collectively, the "Site" or "Website").

By accessing or using the Website in any way — including without limitation browsing, registering, submitting information, or contacting dealers through the Site — you expressly agree to be bound by this Agreement, our Privacy Policy (incorporated herein by reference), and all applicable laws, rules, and regulations. If you are using this Site on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to this Agreement.

These Terms may be updated by UIC at any time, in its sole discretion, without prior notice. The date of the most recent revision will be displayed at the top of this page. Your continued use of the Website following the posting of revised Terms constitutes your acceptance of those changes. It is your responsibility to review this Agreement periodically.

 

Bidonmytrade.com is an online automotive marketing, lead generation, and dealer-referral platform operated by UIC. The Website allows consumers ("Users") to submit information about vehicles they own and wish to trade in, and to receive estimated trade-in values or bids from participating automotive dealerships ("Participating Dealers") and other third-party vehicle sellers ("Vehicle Sellers"). UIC also facilitates referrals to third-party providers of automotive financing, insurance, warranties, and other related products and services (collectively, "Product and Service Providers").

IMPORTANT DISCLAIMERS REGARDING THE NATURE OF THE SERVICE:

• UIC IS NOT A VEHICLE SELLER, VEHICLE BUYER, DEALER, BROKER, AGENT, OR AUCTIONEER. The Website is not an auction platform, and no binding obligation to buy, sell, or trade any vehicle is created by the submission of any information on this Site.
• All trade-in values, bids, quotes, and estimates provided through the Site by Participating Dealers are preliminary, non-binding, and for informational purposes only. Actual values may be higher or lower once a dealer physically inspects and appraises the vehicle in question.
• Dealers listed on the Website may or may not be active participants in the bidding process. UIC will use commercially reasonable efforts to contact non-participating dealers listed near a User's location, but cannot guarantee dealer participation or response.
• UIC is not responsible for the accuracy, completeness, or timeliness of any information, quotes, or representations made by Participating Dealers or Product and Service Providers, whether on the Website or through direct contact with Users.
• All content, pricing data, vehicle descriptions, incentive information, and related data provided on the Website are for educational and informational purposes only and do not constitute a binding offer, contract, or commitment by UIC or any third party.

 

The Website is intended solely for use by individuals who are: (a) legal residents of the fifty (50) United States or the District of Columbia; (b) at least eighteen (18) years of age, or the age of majority in their jurisdiction of residence, whichever is older; and (c) legally capable of entering into binding contracts under applicable law. By using this Website, you represent and warrant that you satisfy all of the foregoing eligibility requirements. UIC reserves the right, in its sole discretion, to refuse service, terminate accounts, or cancel transactions at any time for any reason, including for Users who UIC believes do not satisfy the eligibility requirements.

 

4.1 UIC-Owned Content

All content available on or through the Website — including but not limited to text, graphics, images, photographs, logos, trademarks, service marks, trade names, data compilations, software, audio, video, digital downloads, and the overall "look and feel" of the Website (collectively, "Content") — is the exclusive property of UIC or is used by UIC with the permission of its respective owners, and is protected by applicable United States and international intellectual property laws, including copyright, trademark, trade secret, and patent laws.

The registered slogan "Because the Trade Makes all the Difference"® is the exclusive property of United Incentive Corp. and may not be reproduced, displayed, or used without the express prior written consent of UIC.

4.2 Limited License to Users

Subject to your strict compliance with this Agreement, UIC grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Website solely for your personal, non-commercial informational and transactional purposes. This license does not include any right to: (a) modify, copy, or create derivative works from any Content; (b) publicly display, perform, distribute, or transmit any Content; (c) use any data mining, scraping, robots, or similar automated data gathering tools; or (d) download or copy any account information for the benefit of another party.

4.3 User-Generated Content

If you submit, upload, post, or transmit any content to the Website — including but not limited to reviews, ratings, comments, vehicle descriptions, photos, or other materials ("User Content") — you represent and warrant that: (a) you own or have the right to submit such User Content; (b) the User Content does not violate any third-party intellectual property rights, privacy rights, or applicable law; and (c) the User Content does not contain false, defamatory, obscene, harassing, or otherwise unlawful material.

By submitting User Content, you hereby grant UIC and its designees a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such User Content in any media or format, now known or hereafter developed, for any lawful purpose, including advertising and promotional purposes, without compensation, notification, or attribution to you. UIC is under no obligation to use, display, or retain any User Content and may remove it at any time for any reason in its sole discretion.

UIC has no obligation to monitor User Content, but reserves the right to review, edit, move, or remove any User Content at any time, for any reason or no reason, without liability to you.

 

As a condition of your access to and use of the Website, you agree that you will NOT, directly or indirectly:

• Use the Website for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation;
• Use the Website to submit false, misleading, or fraudulent vehicle information, trade-in requests, or contact information;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• Use any robot, spider, scraper, crawler, or other automated means to access, index, "data mine," or otherwise reproduce or circumvent the navigational structure or presentation of the Website or its Content;
• Attempt to gain unauthorized access to any portion of the Website, any servers on which the Website is hosted, or any computer systems or networks connected to the Website;
• Upload, transmit, or introduce any viruses, worms, Trojan horses, ransomware, spyware, malware, or other malicious or harmful code;
• Interfere with or disrupt the integrity, performance, or operation of the Website or any servers or networks connected to it;
• Reproduce, copy, sell, resell, or exploit any Content or any portion of the Website for any commercial purpose without express prior written consent from UIC;
• Use the Website to collect, store, or disclose personal information about other Users without their consent;
• Post, transmit, or disseminate any spam, unsolicited advertising, chain letters, pyramid schemes, or similar communications;
• Forge headers or otherwise manipulate identifiers to disguise the origin of any communication transmitted through the Website;
• Link to, frame, or mirror any portion of the Website without UIC's prior written consent;
• Use the Website to harass, threaten, defame, abuse, stalk, or otherwise violate the legal rights (including privacy and publicity rights) of any third party;
• Submit, display, or transmit any User Content that is obscene, profane, indecent, hateful, violent, discriminatory, or otherwise objectionable in UIC's sole discretion.

UIC reserves all rights and remedies available at law and in equity for any violation of this Section, including without limitation seeking injunctive relief and monetary damages without the requirement of posting a bond or other security.

 

UIC may refer your vehicle inquiry, contact information, and/or purchase request (collectively, your "Consumer Request") to one or more Participating Dealers, Vehicle Sellers, or Product and Service Providers, including automotive financing companies, insurance providers, warranty providers, and other related businesses. In doing so:

• UIC does not guarantee that it will be able to match your Consumer Request with any Participating Dealer or third-party provider.
• UIC reserves the right, in its sole discretion, to forward your Consumer Request to one or more parties, or to not forward it at all.
• UIC may resell or otherwise transfer your Consumer Request and associated contact information to other internet marketing companies, lead aggregators, or affiliated referral networks, subject to the terms of UIC's Privacy Policy.
• Any communications, representations, agreements, or transactions between you and any Participating Dealer or third-party provider are solely between you and that party. UIC is not responsible for and makes no representations regarding the conduct, statements, offerings, or products of any third party.
• UIC is not a party to any vehicle purchase, lease, financing, or insurance transaction. UIC has no liability for any disputes arising between you and any dealer or third-party provider.

You are strongly encouraged to independently verify all vehicle information, pricing, financing terms, and any other representations made by any dealer or third-party provider before entering into any agreement. You should carefully review all documents presented to you at the time of purchase, lease, or financing.

 

IMPORTANT — PLEASE READ THIS SECTION CAREFULLY BEFORE SUBMITTING YOUR INFORMATION.

By clicking "Continue," "Submit," "Start," or any similar button, or by otherwise submitting your contact information through this Website, you expressly consent, on behalf of yourself and not on behalf of any other party, to receive communications from UIC, its subsidiaries, and its direct affiliates regarding the specific products and services offered on this Website. These communications may include:

• Telephone calls, including calls using an automatic telephone dialing system ("autodialer") or pre-recorded or artificial voice messages;

UIC will process opt-out requests within ten (10) business days.

Pursuant to the Telephone Consumer Protection Act ("TCPA"), 47 U.S.C. § 227, as amended, and FCC regulations effective April 11, 2025, you may revoke your consent at any time through any reasonable means of communication, including but not limited to voicemail, email, or informal written notice. UIC will honor all consent revocations promptly and no later than within ten (10) business days of receipt.

IMPORTANT LIMITATION: Your consent applies specifically and exclusively to UIC and its direct affiliates as identified at the time of your submission. Your consent does not extend to unaffiliated third-party dealers, lenders, or product providers, who must independently obtain your consent before contacting you. UIC does not authorize third parties to rely on your consent provided through this Website for their own marketing communications.

 

The Website may contain hyperlinks to third-party websites, applications, and services that are not owned, operated, or controlled by UIC ("Third-Party Sites"). These links are provided solely for your convenience and reference. UIC does not endorse, and makes no representations or warranties regarding, any Third-Party Site or the information, products, or services available through any Third-Party Site. UIC has no control over and assumes no responsibility for the content, privacy policies, terms of service, accuracy, or practices of any Third-Party Site.

Your access to and use of any Third-Party Site is entirely at your own risk and is subject to the terms and conditions and privacy policies of that Third-Party Site. UIC expressly disclaims all liability arising from your use of, or reliance on, any Third-Party Site.

 

THE WEBSITE, ALL CONTENT, AND ALL SERVICES PROVIDED THROUGH OR IN CONNECTION WITH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UIC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS (COLLECTIVELY, "UIC PARTIES") EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:

• ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT;
• ANY WARRANTY THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS;
• ANY WARRANTY REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT, VEHICLE DATA, PRICING INFORMATION, OR TRADE-IN ESTIMATES;
• ANY WARRANTY THAT DEFECTS IN THE WEBSITE WILL BE CORRECTED;
• ANY WARRANTY REGARDING THE CONDUCT OR REPRESENTATIONS OF ANY PARTICIPATING DEALER, VEHICLE SELLER, OR PRODUCT AND SERVICE PROVIDER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, THE FOREGOING EXCLUSIONS APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

 

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE UIC PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH:

• YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE WEBSITE OR ANY CONTENT;
• ANY CONDUCT OR CONTENT OF ANY PARTICIPATING DEALER, VEHICLE SELLER, PRODUCT AND SERVICE PROVIDER, OR OTHER THIRD PARTY ON OR THROUGH THE WEBSITE;
• ANY VEHICLE TRANSACTION, FINANCING ARRANGEMENT, INSURANCE POLICY, OR OTHER AGREEMENT ENTERED INTO THROUGH OR IN CONNECTION WITH A REFERRAL FROM THE WEBSITE;
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF UIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE UIC PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE WEBSITE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT, IF ANY, PAID BY YOU TO UIC DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

THE FOREGOING LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

 

You agree, at your own expense, to indemnify, defend (with counsel reasonably acceptable to UIC), and hold harmless UIC and the UIC Parties from and against any and all claims, demands, actions, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your use of or access to the Website;
• Any User Content you submit, post, or transmit through the Website;
• Your violation of any provision of this Agreement;
• Your violation of any applicable law, rule, or regulation;
• Your violation of any rights of any third party, including without limitation intellectual property rights, privacy rights, or rights of publicity;
• Any misrepresentation made by you in connection with your use of the Website.

UIC reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with UIC in asserting any available defenses.

 

12.1 Mandatory Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except as expressly set forth in Section 12.3, you and UIC agree that any dispute, claim, or controversy arising out of or relating to this Agreement, the Website, or any use thereof, including any question regarding the existence, validity, or termination of this Agreement (collectively, "Dispute"), shall be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable, in effect at the time the arbitration is commenced.

The arbitration shall be conducted in Pinellas County, Florida, or, at your election (if you are a consumer), by telephone, video conference, or written submission. The arbitrator shall have the power to award any relief available in an individual court proceeding. The award rendered by the arbitrator shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.2 CLASS ACTION AND JURY TRIAL WAIVER

YOU AND UIC EACH WAIVE THE RIGHT TO A JURY TRIAL. YOU AND UIC EACH WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING IN ANY COURT OR IN ARBITRATION. ALL DISPUTES MUST BE BROUGHT SOLELY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

12.3 Exceptions to Arbitration

Notwithstanding the foregoing, UIC retains the right to seek injunctive or other equitable relief from any court of competent jurisdiction to protect its intellectual property rights, trademarks, trade secrets, confidential information, or to prevent unauthorized use of the Website. Nothing in this Section shall prevent either party from seeking emergency injunctive relief in aid of arbitration from a court of competent jurisdiction.

12.4 Governing Law and Venue

This Agreement and any Dispute shall be governed by and construed in accordance with the laws of the State of Florida, without giving effect to any choice of law or conflict of law provisions. For any matter not subject to arbitration under this Agreement, you hereby consent to the exclusive jurisdiction and venue of the state and federal courts located in Pinellas County, Florida.

12.5 Time Limitation on Claims

ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE WEBSITE MUST BE INITIATED WITHIN ONE (1) YEAR AFTER THE CLAIM AROSE, OR SUCH CLAIM IS PERMANENTLY BARRED.

 

UIC respects the intellectual property rights of others and expects users of the Website to do the same. In accordance with the DMCA (17 U.S.C. § 512), UIC has registered a DMCA Agent with the U.S. Copyright Office and will respond expeditiously to notices of alleged copyright infringement.

If you believe that your copyrighted work has been infringed on or through the Website, please provide UIC's designated DMCA Agent with a written notice containing the following:

• A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
• Identification of the copyrighted work claimed to have been infringed;
• Identification of the allegedly infringing material and its location on the Website (URL or other specific information);
• Your name, address, and email address;
• A statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or applicable law;
• A statement under penalty of perjury that the information in the notice is accurate and that you are the copyright owner or are authorized to act on their behalf.

UIC maintains a policy of terminating the accounts of repeat infringers in appropriate circumstances.

 

Your use of the Website is subject to UIC's Privacy Policy, which is incorporated into and made a part of this Agreement by reference. By agreeing to these Terms, you also agree to our Privacy Policy. Please review the Privacy Policy carefully, as it describes how UIC collects, uses, shares, and protects your personal information, and explains your rights with respect to such information.

 

UIC reserves the right, at any time and without prior notice, to: (a) modify, suspend, or discontinue the Website or any portion thereof; (b) update, change, or amend these Terms; and (c) impose limits on certain features or restrict access to portions or all of the Website. UIC shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Website. Continued use of the Website after any such changes constitutes your acceptance of the new Terms.

 

UIC takes commercially reasonable measures to protect the security and integrity of the Website. However, you acknowledge that no method of internet transmission or electronic storage is completely secure, and UIC cannot guarantee the absolute security of your data. You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account. You agree to immediately notify UIC at admin@bidonmytrade.com of any unauthorized use of your account or any other breach of security.

You agree not to attempt to gain unauthorized access to any portion of the Website, any accounts, systems, or networks connected to the Website, whether through hacking, password mining, or any other means. Any violation of the foregoing may be reported to appropriate law enforcement authorities, and UIC will cooperate with such authorities in connection with any investigation.

 

The Website is intended for use by residents of the United States only. UIC makes no representation that the Website or its Content is appropriate, lawful, or available for use in locations outside the United States. Access to the Website from jurisdictions where its contents are illegal is prohibited. Those who access the Website from other jurisdictions do so on their own initiative and are solely responsible for compliance with applicable local law.

 

18.1 Entire Agreement

This Agreement, together with the Privacy Policy and any additional terms and conditions applicable to specific features of the Website, constitutes the entire agreement between you and UIC with respect to the Website and supersedes all prior and contemporaneous agreements, communications, and proposals, whether oral or written.

18.2 Severability

If any provision of this Agreement is found by an arbitrator or court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

18.3 Waiver

No waiver by UIC of any breach or default under this Agreement shall be deemed a waiver of any subsequent breach or default, and shall not affect the other terms of this Agreement.

18.4 Assignment

You may not assign or transfer any rights or obligations under this Agreement without UIC's prior written consent. UIC may freely assign its rights and obligations under this Agreement without restriction.

18.5 No Agency

Nothing in this Agreement shall be construed to create any agency, partnership, joint venture, employment, or franchise relationship between you and UIC.

18.6 Notices

All notices to UIC under this Agreement shall be in writing and sent to: United Incentive Corp., 2840 West Bay Drive, Suite 172, Belleair Bluffs, FL 33770, or by email to admin@bidonmytrade.com. Notices are effective upon receipt.

18.7 Electronic Signatures and Records

You agree that your electronic assent to these Terms (including clicking "Accept," "Submit," "Continue," or similar buttons) constitutes a valid electronic signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), 15 U.S.C. § 7001 et seq., and the Florida Electronic Signature Act, Fla. Stat. § 668.50, and is fully binding.

18.8 Headings

Section headings in this Agreement are for convenience only and have no legal or contractual effect.
